Welcome to Skyrato. These Terms and Conditions ("Terms") govern your access to and use of the Skyrato platform, applications, APIs, dashboards, analytics systems, route playback services, trip intelligence systems, fleet visibility tools, and related services (collectively, the "Services").

By accessing or using Skyrato, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.


1. About Skyrato

Skyrato is a logistics intelligence and fleet visibility platform that aggregates, processes, and visualizes transportation, GPS, telematics, route playback, trip history, and operational data from multiple third-party providers, APIs, telematics systems, and external integrations.

Skyrato acts primarily as a technology aggregation and visualization platform. Data displayed within the Services may originate from third-party systems, GPS hardware vendors, telematics providers, logistics APIs, mapping providers, mobile networks, satellite systems, or customer-supplied integrations.

Skyrato does not independently verify the accuracy, completeness, timing, or reliability of all third-party data sources.


2. Eligibility

You may use the Services only if:

  • You are legally capable of entering into a binding agreement;
  • You are authorized to act on behalf of your organization;
  • Your use of the Services complies with all applicable laws and regulations.

If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.


3. User Accounts

To access certain Services, you may be required to create an account.

You agree to:

  • Provide accurate and complete registration information;
  • Maintain the confidentiality of login credentials;
  • Restrict unauthorized access to your account;
  • Notify Skyrato immediately of any unauthorized use.

You are responsible for all activities conducted under your account.

Skyrato reserves the right to suspend or terminate accounts that violate these Terms or create operational, legal, or security risks.


4. Nature of Data and Accuracy Disclaimer

4.1 Third-Party Data Sources

The Services rely heavily on data provided by external systems, including but not limited to:

  • GPS device manufacturers;
  • Fleet telematics providers;
  • Logistics API providers;
  • Vehicle tracking platforms;
  • Mobile network providers;
  • Satellite positioning systems;
  • Mapping and geolocation providers;
  • Customer-owned systems and integrations.

Because data is sourced from external providers, Skyrato does not guarantee:

  • Real-time accuracy;
  • Precision of location coordinates;
  • Trip playback continuity;
  • Route correctness;
  • ETA accuracy;
  • Geo-fence accuracy;
  • Trip reconstruction accuracy;
  • Historical playback precision;
  • Distance calculations;
  • Fuel, speed, stoppage, or telemetry accuracy;
  • Availability or completeness of provider data.

4.2 Informational Purposes Only

All information displayed within the Services is provided for operational visibility and informational purposes only.

The Services must not be relied upon as the sole source of truth for:

  • Legal disputes;
  • Regulatory filings;
  • Insurance claims;
  • Tax reporting;
  • Driver compliance enforcement;
  • Emergency response decisions;
  • Safety-critical decisions;
  • Financial settlements;
  • Contractual delivery verification.

Customers are responsible for independently verifying operational data before making critical business decisions.

4.3 GPS and Route Playback Limitations

Route playback and trip history functionality may contain:

  • Missing GPS points;
  • Delayed updates;
  • Duplicate events;
  • Incorrect timestamps;
  • Signal drift;
  • Inaccurate stop detection;
  • Connectivity-related gaps;
  • Mapping inconsistencies;
  • Data synchronization delays.

Such limitations are inherent to GPS, telematics, network coverage, third-party APIs, and external infrastructure.

Skyrato shall not be liable for losses arising from inaccurate playback, route history, trip analytics, or telemetry data.


5. API Integrations and External Providers

Skyrato integrates with multiple external providers and APIs.

You acknowledge and agree that:

  • Third-party provider availability may change without notice;
  • Providers may impose quotas, restrictions, or pricing changes;
  • External APIs may experience outages, delays, or degraded performance;
  • Provider data formats may change unexpectedly;
  • Certain integrations may become unavailable permanently or temporarily.

Skyrato is not responsible for:

  • Failures caused by third-party APIs;
  • External provider downtime;
  • API rate limits;
  • External authentication failures;
  • Mapping provider inaccuracies;
  • Telematics vendor errors;
  • GPS hardware malfunctions.

Customers are responsible for ensuring they have lawful authorization to connect and use any third-party systems integrated with Skyrato.


6. Usage Limits and Fair Usage

Skyrato may impose operational, technical, or fair usage limits on:

  • API requests;
  • Route playback queries;
  • Historical data access;
  • Concurrent sessions;
  • Data exports;
  • Background synchronization;
  • Storage consumption;
  • Map rendering requests;
  • Webhook usage;
  • Analytics processing.

These limits may vary by subscription plan.

Excessive or abusive usage that negatively impacts platform stability may result in:

  • Temporary throttling;
  • Additional charges;
  • Restricted functionality;
  • Account suspension.

7. Billing, Pricing, and Overage Charges

7.1 Subscription Fees

Certain Services require paid subscriptions.

You agree to pay all applicable fees, taxes, and charges associated with your selected plan.

Unless otherwise stated:

  • Fees are billed in advance;
  • Payments are non-refundable;
  • Taxes are excluded unless explicitly specified.

7.2 Overage Charges

Certain plans may include usage thresholds or limits.

Additional charges may apply for:

  • Excess API usage;
  • Increased storage;
  • Additional fleet volume;
  • Excessive playback requests;
  • High-frequency polling;
  • Additional data retention;
  • Premium integrations;
  • Additional users or workspaces.

Skyrato reserves the right to invoice overage charges based on actual platform usage.

7.3 Pricing Changes

Skyrato may revise pricing, usage limits, or billing structures at any time with reasonable prior notice.

Continued use of the Services after such changes constitutes acceptance of updated pricing.


8. Availability and Service Reliability

While Skyrato aims to provide high availability, uninterrupted access is not guaranteed.

The Services may experience:

  • Scheduled maintenance;
  • Infrastructure failures;
  • Third-party outages;
  • Network interruptions;
  • Cloud provider downtime;
  • API disruptions;
  • Security incidents;
  • Unexpected technical failures.

Skyrato does not guarantee:

  • Continuous uptime;
  • Real-time synchronization;
  • Zero data loss;
  • Error-free operation.

Temporary interruptions or delays do not constitute breach of these Terms.


9. Data Retention and Storage

Data retention periods may vary depending on:

  • Subscription plan;
  • Customer agreements;
  • Storage limitations;
  • Provider capabilities;
  • Regulatory requirements.

Skyrato reserves the right to:

  • Archive older data;
  • Delete expired historical records;
  • Limit retention periods;
  • Remove inactive accounts.

Customers are responsible for maintaining independent backups of critical operational data.


10. Customer Responsibilities

Customers agree to:

  • Use the Services lawfully;
  • Maintain proper authorization for connected devices and integrations;
  • Ensure compliance with privacy and employment laws;
  • Obtain necessary driver or user consents where required;
  • Avoid misuse of tracking or surveillance capabilities;
  • Maintain security of their systems and credentials.

Customers are solely responsible for:

  • Their operational decisions;
  • Fleet management actions;
  • Employee monitoring practices;
  • Regulatory compliance;
  • Data submitted into the platform.

11. Prohibited Uses

You may not:

  • Reverse engineer the platform;
  • Attempt unauthorized access;
  • Use the Services for unlawful surveillance;
  • Circumvent platform limitations;
  • Interfere with system integrity;
  • Upload malicious code;
  • Resell the Services without authorization;
  • Abuse APIs or infrastructure;
  • Use automated scraping methods against the platform.

Skyrato may suspend or terminate accounts engaged in prohibited activity.


12. Intellectual Property

All platform components, including but not limited to:

  • Software;
  • UI/UX designs;
  • Branding;
  • Logos;
  • Analytics systems;
  • Dashboards;
  • Documentation;
  • Algorithms;
  • Visualizations;
  • APIs developed by Skyrato;

are the exclusive property of Skyrato or its licensors.

These Terms do not transfer any ownership rights.

Customers receive a limited, non-exclusive, non-transferable right to use the Services during an active subscription period.


13. Privacy and Data Processing

Your use of the Services is also governed by the Skyrato Privacy Policy.

Customers remain responsible for ensuring that any personal, driver, vehicle, or location data processed through the Services complies with applicable privacy and data protection laws.

Skyrato may process and store operational data as necessary to provide the Services.


14. Limitation of Liability

To the maximum extent permitted by law, Skyrato shall not be liable for:

  • Indirect damages;
  • Consequential damages;
  • Lost profits;
  • Lost business opportunities;
  • Data inaccuracies;
  • GPS errors;
  • Routing inaccuracies;
  • Delayed notifications;
  • Operational losses;
  • Driver disputes;
  • Missed deliveries;
  • Downtime losses;
  • Third-party provider failures;
  • Regulatory penalties;
  • Customer misuse of data.

Skyrato's total aggregate liability arising from or relating to the Services shall not exceed the amount paid by the customer to Skyrato during the three (3) months preceding the event giving rise to the claim.


15. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Skyrato disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Accuracy;
  • Reliability;
  • Availability;
  • Security;
  • Performance guarantees.

Skyrato does not warrant that the Services will:

  • Meet all customer requirements;
  • Be uninterrupted;
  • Be completely secure;
  • Be error-free;
  • Produce perfectly accurate tracking or analytics results.

16. Indemnification

You agree to indemnify and hold harmless Skyrato, its affiliates, officers, employees, and partners from claims, liabilities, damages, losses, and expenses arising from:

  • Your misuse of the Services;
  • Your violation of these Terms;
  • Your violation of applicable laws;
  • Unauthorized tracking activities;
  • Disputes involving your customers, drivers, or employees;
  • Data you submit or process through the platform.

17. Suspension and Termination

Skyrato may suspend or terminate access to the Services at any time if:

  • You violate these Terms;
  • Payment obligations are overdue;
  • Your usage threatens platform stability or security;
  • Required third-party integrations become unavailable;
  • Continued access creates legal or operational risk.

Upon termination:

  • Access rights immediately cease;
  • Certain data may be deleted after a retention period;
  • Outstanding fees remain payable.

18. Force Majeure

Skyrato shall not be liable for delays or failures caused by events beyond its reasonable control, including:

  • Natural disasters;
  • Government actions;
  • Internet outages;
  • Telecommunications failures;
  • Cyberattacks;
  • Cloud infrastructure failures;
  • Labor disputes;
  • Third-party provider disruptions.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Skyrato is registered and operates.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.


20. Changes to Terms

Skyrato may update these Terms from time to time.

Updated versions become effective upon posting.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

22. Entire Agreement

These Terms constitute the entire agreement between you and Skyrato regarding the Services and supersede all prior agreements, communications, or understandings relating to the subject matter herein.
